Shares
The issued share capital of Origin Enterprises plc consists of 133,015,572 ordinary shares with a nominal value of €0.01 each, each share having equal voting rights and 5,140,770 deferred convertible ordinary shares of €0.01 each. (The deferred convertible ordinary shares do not carry voting rights and are available to management under the Origin Long Term Incentive Plan.) Origin Enterprises plc does not hold any shares in treasury. In accordance with the AIM and IEX Rules (Rule 26), in so far as the Company is aware, the percentage of the Company’s issued share capital that is not in public hands is 74.94%. This percentage comprises the 71.42% interest of IAWS Group plc, with the balance being management shareholdings under the Origin Long Term Incentive Plan.
